Quote requests, offers, and orders for parts are subject to availability, export and regulatory compliance, inspection, and separate commercial terms (including price, lead time, warranty, and documentation) as confirmed in writing between you and Vento. Website content, including part descriptions, images, and inventory indications, is for general information and may not reflect real-time availability or final contract terms. Nothing on the site constitutes an offer; orders are only binding when we confirm acceptance in accordance with our agreed process.
5. Intellectual property
The site and its design, text, graphics, logos, and other content are owned by Vento or our licensors and are protected by copyright, trademark, and other laws. OUR AGGREGATE LIABILITY FOR CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SITE (EXCEPT WHERE PROHIBITED BY LAW) SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID VENTO FOR ACCESS TO THE SITE IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US$100), AS APPLICABLE.
9. Indemnity

10. Governing law and disputes
These Terms are governed by the laws of the State of New York, United States, without regard to conflict-of-law rules. The exclusive jurisdiction and venue for any dispute arising out of or relating to these Terms or the site shall be the state and federal courts located in New York County, New York, except where applicable law requires otherwise. You consent to the personal jurisdiction of such courts.
11. Changes to the Terms
We may modify these Terms at any time. We will post the updated Terms and revise the "Last updated" date. Your continued use of the site after changes constitutes acceptance of the new Terms, except where a stricter process is required by law. If you do not agree, you must stop using the site.
12. General
If any provision of these Terms is held invalid, the remainder remains in effect. Our failure to enforce a right is not a waiver. These Terms constitute the entire agreement between you and Vento regarding the site (subject to separate written agreements for specific transactions, where applicable).
